Terms of Service

These terms are entered into with Good Guys Consulting (PT Good Guys Consulting), a foreign investment company (PMA) registered in Gianyar, Bali, Indonesia.

These Terms of Service govern your use of goodguys.consulting, portal.goodguys.consulting, and all related services, tools, and communications provided by Good Guys Consulting.

We provide legal, visa, tax, property due diligence, and corporate advisory services as described on our website. The specific scope of services for each engagement is defined in the relevant engagement letter or service agreement.

A formal engagement begins upon receipt of a deposit payment or execution of a signed engagement letter. Initial consultations, AI onboarding chat conversations, and general website content are informational only and do not constitute a client-attorney relationship.

The content on our website, including blog posts, guides, FAQ answers, and AI chat responses, is provided for informational purposes only and does not constitute legal advice. Formal legal advice is provided exclusively under a signed engagement letter, tailored to your specific circumstances.

As a client, you agree to:

• Provide accurate and complete information for all filings and applications.
• Respond to document requests and inquiries in a timely manner.
• Pay invoices according to the agreed payment terms.
• Notify us promptly of any changes to your circumstances that may affect our services.

Service fees are as quoted in your engagement letter or service agreement. Deposits are refundable minus reasonable administrative costs if the engagement is cancelled before substantive work begins. Payments are processed securely through Stripe. Invoices are due within 14 days of issuance unless otherwise agreed.

All website content, design, branding, and proprietary materials are owned by Good Guys Consulting and protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from our materials without prior written consent.

To the maximum extent permitted by law, Good Guys Consulting shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of our services or website. Our total liability for any claim is limited to the fees paid by you for the specific service giving rise to the claim.

We treat all client information as confidential and will not disclose it to third parties except as required for service delivery (e.g., government filings), as authorized by you, or as required by law. Our confidentiality obligations survive the termination of our engagement.

These terms are governed by the laws of the Republic of Indonesia. Any disputes arising from these terms or our services shall first be resolved through good-faith mediation in Bali, Indonesia. If mediation fails, disputes shall be resolved through binding arbitration in accordance with Indonesian arbitration law.

Access to the client portal (portal.goodguys.consulting) is provided on an as-is basis. We may suspend or restrict portal access for non-payment, security concerns, or violation of these terms. We strive for high availability but do not guarantee uninterrupted access.

Our AI-powered tools, including the onboarding chat, provide general recommendations and information only. They do not constitute legal advice. All AI-generated recommendations are subject to review and validation by our qualified legal team before any formal advice or action is taken on your behalf.

Either party may terminate an engagement with 30 days written notice. Upon termination, fees for all work completed up to the termination date are due and payable. We will provide reasonable assistance in transitioning your matters to another provider if requested.

Good Guys Consulting shall not be liable for delays or failures in performance resulting from events beyond our reasonable control, including but not limited to natural disasters, government actions, pandemics, internet outages, or civil unrest.

We reserve the right to update these terms at any time. Material changes will be communicated through the website or by email. Continued use of our services after changes are posted constitutes acceptance of the updated terms.

If any provision of these terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
